TERMS AND CONDITIONS OF SERVICE

These Terms and Conditions of Service (“Terms”) govern the contractual relationship between:

Revstance Ltd, doing business as (dba) Revstance, a company governed by the laws of England and Wales, with company registration number 10535686, having its registered office at 118 Pall Mall, London, England, United Kingdom, SW1Y 5EA (hereinafter referred to as “Revstance”, “we”, “our”, and “us”), and
each Business, (as defined below), Buyer (defined below), Customer (defined below), legal entity, user or visitor (collectively “you” or “your”) (i) accessing Revstance’s website located at https://www.revstance.com (hereinafter referred to as the “Site”), and/or (ii) using the Services (as defined under these Terms) via the Site.

You and Revstance shall also hereinafter be referred to together as the “Parties” and individually as a “Party”.

Please read these Terms carefully before using the Site. Your access to the Site and your use of the Services (defined below) is conditioned upon your acceptance of and compliance with these Terms.

Acceptance & Modification of the Terms

By accessing the Site, by purchasing/selling the Product(s) (as defined below) and by using the Services (defined below) you agree to be bound by these Terms and accept to comply with all applicable laws and regulations. Should you disagree to be bound by these Terms, in whole or in part, you shall (i) not be permitted/authorized to use the Services (as defined below) and purchase/sell the Products (defined below) on the Platform (as defined below), and (ii) refrain from accessing the Site.

Your continued use of the Site, use of the Services and/or purchase/sale of the Product(s) on the Platform (as defined below) shall be deemed to constitute your acceptance of these Terms.

Revstance reserves the right, at any time and in its sole discretion, to modify or replace these Terms. You shall be solely responsible for checking these Terms periodically, to stay abreast of any changes to the Terms. Your continued access to the Site, use of the Services and purchase/sale of Products on the Platform (as defined below) following the posting of any changes to these Terms shall be subject to the newly modified Terms.

Platform, Products and Services

Revstance provides Customers, Buyers and Businesses (defined below) with a Web-based marketplace platform embedded in the Site, enabling them to trade in a variety of products/brands including but not limited to the fashion, beauty, art and homeware niche (“Product(s)”). The Products are sold by Businesses (as defined below) on Revstance’s Platform (as defined below).

Revstance also:

provides you with a Web-based marketplace platform embedded integrated into the Site (“Platform”) that connects you with artisans, boutiques, designers, retail stores and other types of businesses (“Business(es)”) in order for each Business to sell the Businesses Products;
provides Businesses with the ability to list Products on our Platform, advertise brands, generate coupons or special offers and receive reviews and feedback from other users on the Site;
provides you with the ability to purchase certain Products listed on the Platform in bulk/wholesale (“Buyer(s)”);
provides potential/prospective individual customers with the Platform in order for them to purchase the Product(s) (“Customer(s)”);
provides you with the ability to collect tokens (“REV Tokens”) that are used to incentivise your actions on the Platform, including but not limited to reviewing a Business and checking in for your visit to a Business. The REV Tokens can be redeemed for coupons, certain Products and special offers made available/promoted by Businesses on the Platform, in addition to any other service(s) that Revstance may provide to you from time to time;
allows you to post images and microblogs articles to Revstance’s creative hub on the Site;
acts as a third-party intermediary and as such facilitates the sale and purchase of Products between Businesses and a Buyer and/or Customer on the Platform,

(collectively the “Service(s)”).

The Services are accessible via the Site and any other website through which Revstance may from time to time make available to you. You acknowledge and understand that only Businesses, Buyers and Customers registered on the Site will be permitted to access our Site and use the Services.

You acknowledge that Revstance may change, suspend or discontinue any or all of the Services, at its sole discretion at any time, without notice and for any or no reason.

Revstance reserves the right to cancel or revoke, at any time and in its sole discretion, any and all Product purchase/sale transactions made between the Buyer/Customer and Seller on the Platform.

Any information contained on Revstance’s help resources (for example: frequently asked questions (FAQ) which aims to assist you in making the best use of our Site and Services, are provided to you by us for information purposes only. As such, Revstance shall not be held responsible for any and all consequences you experience as a result of following or not following the guides provided in our help centre.

Registration, Password and Security

To be able to use the Services and purchase (for the Buyer and Customer) or sell (for the Businesses) the Products on the Platform, you must register on the Site by providing all required information which shall include but not be limited to your full name, email address, physical address, business name (if applicable), and contact information. An account shall thereafter be opened by Revstance for you on the Site (“User Account”). You acknowledge and understand that may not have more than one (1) active User Account on the Site.

You agree to:

(i) provide true, accurate, current and complete information about yourself as prompted by Revstance’s registration process on the Site; and

(ii) maintain and promptly update the information provided during registration to keep it true, accurate, current, and complete at all times.

Revstance reserves the right to suspend or terminate your User Account and your access to the Site and use of the Services if you create more than one (1) User Account. Furthermore, if you provide any information to Revstance that is untrue, inaccurate, outdated, or incomplete, or if we have reasonable grounds to suspect that such information is untrue, inaccurate, outdated, or incomplete, we may close your User Account on the Site and (i) refuse to process any pending or future Product purchase/sale transaction(s) and/or (ii) deny you the ability to access and use the Services.

You may indicate, during registration process, to Revstance your choice of User Account’s username and password to be used as login credentials to access your User Account (“Login Credentials”). You shall be solely responsible for (i) maintaining the confidentiality of your Login Credentials; and (ii) any and all activities which occur under your User Account. You agree to notify us immediately of any unauthorized use of your User Account or any other breach of security. Revstance shall not be liable for any loss that you may incur as a result of any third party using your Login Credentials and/or accessing/using your User Account either with or without your knowledge. However, you may be held liable for losses incurred by Revstance due to any third party using your Login Credentials and/or User Account. You acknowledge and agree that you may not use the User Account of another Buyer or Business registered on the Site without the express permission of such User Account holder.

You acknowledge and agree that should you register your company or another legal entity, you shall accept the terms and conditions of these Terms on behalf of the company or other legal entity. You further represent and warrant that you have the authority to bind the company or other legal entity to these Terms.

Businesses who register a User Account with Revstance will have the option to choose either a free Revstance Business User Account or a premium Revstance Business User Account, which will give Businesses access to certain Services available specifically to Businesses on the Site and Platform. You acknowledge and understand that premium Revstance Business User Accounts are offered to Businesses at a prescribed fee, the amount of which will be available for you to review on our Site at the time of payment.

Selling Products on the Platform

To be able to sell Products on the Platform, Businesses must register for a Business User Account. Upon registering a User Account on the Site, Revstance shall verify Businesses’ details prior to providing Business with access to creating Businesses sales page and sales account under their User Account. Business may freely list Business’ Product(s) on the Site provided that Business’ Product(s) meet(s) Revstance’s Product requirements. Business’ may list a minimum of one (1) Product and a maximum of one hundred (100) Products on the Platform.

Listing a Product. Business acknowledges that Business may list your brand, on the Platform, subject to the number of Products that Business is allowed to list, as per the free or premium Revstance Business User Account that Business has registered for. To list a brand on the Platform, Business will be asked a variety of questions, including, but not limited to, the location, type of Product, size, features, and ownership certificates of such brands. It is a requirement that all brands listed on the Platform must have a valid physical address.

Listings will be made publicly available by Revstance via the Site and Services. Other users will be able to see Business’ brand(s) on the Site and provide reviews of the user’s experience.

Business acknowledges and agrees that you are solely responsible for any and all Products listed on the Platform. Accordingly, you represent and warrant that any Product listed on the Platform, will not breach any third-party agreements you have executed; and will at all times be in compliance with all applicable laws, rules and regulations that may apply to any Product(s) and have the applicable permits, licenses and registrations. For the avoidance of doubt, Revstance assumes no responsibility for a Business's compliance with any third-party agreements, applicable laws, rules and regulations as it relates to Businesses Products listed on the Platform. Revstance reserves its right, at any time and without prior notice to you, to remove or disable access to any Product listed on the Platform or any reason or no reason at all.

Business acknowledges and agrees that:

Business shall be solely and exclusively responsible for setting/determining the price and delivery method for any and all of Businesses Products listed for sale on the Platform;
Business shall be solely responsible for monitoring the availability of any of Businesses Product(s) listed on the Platform to ensure that all Business’ Products listed on the Platform truly exist, are valid and are owned by Business; and
the quality of the Product(s) and the content used to display a Product listed on the platform is of paramount importance to Revstance. As such, we reserve our right to remove or request the removal of any Product and related content that may fall below Revstance’s quality standards, as determined by Revstance in its sole discretion, or if they breach the Terms contained herein.

Purchasing Products on the Platform

To purchase a Product on Revstance’s Platform a Buyer and Customer may purchase a specific Product listed on the Platform at the Business’ selling price, by clicking on the ‘add to cart’ button. Buyer and Customer acknowledge and understand that only if a Product is available in the Buyer’s and/or Customer’s location, will the Buyer or Customer be able to check out and pay for the Product(s).

The Buyer and Customer acknowledges and agrees that:

Revstance facilitates the Product purchase and sale transaction(s) between Buyer/Customer and Business only and strictly as a third-party intermediary. As such, Buyer/Customer acknowledges and agrees that any corresponding Product purchase and sale agreement shall be solely and exclusively entered into by and between Buyer/Customer and Business;
Business shall be solely and exclusively responsible for setting the selling price for each of Business’ Products listed on the Platform;
all updates and technical support related to the Product(s) purchased by Buyer/Customer on the Platform shall be provided to Buyer /Customer by Business only;
all payments made by Buyer/Customer, to purchase any Product listed on the Platform and any request for a refund shall be strictly between Buyer/Customer and Business; and
Buyer/Customer shall not resell the Product(s) purchased by Buyer/Customer on the Platform to other Buyers/Customers on the Platform, unless Buyer and/or Customer has obtained the prior written consent and approval of Revstance.

Intermediary Fee & Taxes

Intermediary Fee. As a facilitating intermediary/entity which is only a third party to any Product sale/purchase transaction(s) made on the Platform between Business and Buyer/Customer, Revstance shall collect a commission plus VAT (if applicable) on the total Product purchase/sale transaction amount, excluding any shipping costs.

Taxes. Under these Terms, the term “Taxes” shall mean taxes, charges, duties, fees, levies, and other charges of a governmental authority, including income, withholding, social security, social contribution, transfer, sales, use, value-added and all other taxes of any kind for which a Party may have any liability imposed by any governmental authority, whether disputed or not, any related charges, interest or penalties imposed by any governmental authority, and any liability for any other person as a transferee or successor by Law, contract or otherwise.

All fees for the Products and/or Services, as illustrated on Revstance’s Site are exclusive of any and all Taxes.

You shall be responsible for the payment of all Taxes associated with the purchase or sale of the Products via the Platform and as part of your use of the Services. You shall not deduct from the payments due to Revstance, any Taxes, except as is required by applicable law.

Your Conduct and Use of the Site (including Platform)

You represent and warrant that your use of the Site (including Platform) and Services shall at all times be in compliance with these Terms, including any and all laws and regulations applicable to you in your jurisdiction. By failing to comply, Revstance reserves the right to suspend or immediately delete your User Account without notice to you; or to restrict you access to the Site (including Platform).

When using the Site (including Platform) and Services, you must comply with any and all requirements set by Revstance. You specifically agree and confirm that:

You will use and access the Site in accordance with these Terms;
Any technical issue you experience with regards to your internet service provider shall not be Revstance’s responsibility;
You are solely and exclusively responsible in assessing the suitability of your needs and verifying the accuracy of any statement made on our Site; and
You will not create a User Account on behalf of a company without such company’s prior approval or confirmation.

In accessing and using the Site (including Platform), Services, Revstance’s Content and User’s Content (defined below), you agree to not:

violate any laws in connection with your use of the Site (including Platform) and Services or otherwise violate or circumvent any applicable laws or regulations, agreements with third-parties, third-party rights, or these Terms. This includes any local, national and international laws that may apply to you.
use manual or automated software, devices, scripts, robots or other means or processes to access, "scrape", "crawl", "spider" or collect any information from or otherwise interact with any web pages or other Services contained in the Site (including Platform), Services or Revstance’s Content and User’s Content;
use the Site (including Platform), Services Revstance’s Content or User’s Content for any commercial or other purposes that are not expressly permitted by these Terms;
use our Site (including Platform) or Services in a manner that falsely implies an endorsement, partnership or any other sort of affiliation with Revstance, unless we provide you prior written consent.
copy, store or otherwise access any information contained on the Site (including Platform), Services Revstance’s Content or User’s Content for purposes not expressly permitted by these Terms, including personally identifiable information, or deemed inconsistent with our Terms and Privacy Policy, or in a way deemed not appropriate by any data protection legislation from time to time in force in the UK including the Data Protection Act 2018 or any successor legislation (“UK Data Protection Legislation”);
infringe the rights of any person or entity, including without limitation, their intellectual property, privacy, publicity or contractual rights;
interfere with or damage the Site (including Platform) or Services, including, without limitation, through the use of viruses, cancel bots, Trojan horses, harmful code, flood pings, denial-of-Services attacks, packet or IP spoofing, forged routing or electronic mail address information or similar methods or technology;
use the Site (including Platform) or Services to transmit, distribute, post or submit any information concerning any other person or entity, including without limitation, photographs of others without their permission, personal contact information or credit, debit, calling card or account numbers;
use our Site (including Platform), Services or Revstance’s Content or User’s Content in connection with the distribution of unsolicited commercial email/spam;
conduct any action that may discriminate against or harass anyone on the basis of race, national origin, religion, gender, gender identity, physical or mental disability, medical condition, marital status, age or sexual orientation, or otherwise engage in any abusive or disruptive behaviour or in any other way violate or infringe anyone else’s rights or otherwise cause harm to anyone;
register for more than one User Account or register a User Account on behalf of an individual other than yourself or organisation other than your employer/company you are authorised to represent;
recruit or otherwise solicit any Business or other user to join third-party services or websites that are competitive to Revstance, without Revstance's prior written approval;
impersonate any person or entity, or falsify or otherwise misrepresent yourself or your affiliation with any person or entity;
post, upload, publish, submit or transmit any content that: (a) infringes, misappropriates or violates a third party's patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (b) breaches, or encourages any conduct that would breach, any applicable law or regulation or would give rise to civil liability; (c) is fraudulent, false, misleading or deceptive; (d) is defamatory, obscene, pornographic, vulgar or offensive; (e) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (f) is violent or threatening or promotes violence or actions that are threatening to any other person; or (f) promotes illegal or harmful activities or substances;
use, display, mirror or frame the Site (including Platform), Services or Revstance’s Content or User’s Content, or any individual element within the Site (including Platform), Services, Revstance’s Content or User’s Content, Revstance's name, any Revstance trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page in the Site (including the Platform) or Services, without Revstance's express written consent;
access, tamper with, or use non-public areas of the Site (including the Platform) or Services, Revstance's computer systems, or the technical delivery systems of Revstance's providers;
attempt to probe, scan, or test the vulnerability of any Revstance system or network or breach any security or authentication measures;
avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by Revstance or any of Revstance's providers or any other third party (including another user) to protect the Site (including the Platform), Services, Revstance’s Content or User’s Content;
attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Site (including the Platform), Services, Revstance’s Content or User’s Content; or
advocate, encourage, or assist any third party in doing any of the foregoing.

Revstance reserves its right to investigate and prosecute any breach of these Terms to the fullest extent of the law. Where a breach of these Terms is found, Revstance may terminate your User Account, in its sole discretion.

Your Relationship with Revstance

You understand and agree that unless specifically agreed in writing by Revstance or unless specified in these Terms, Revstance is not a party to any agreement or legal relationship between you and any user of the Site and has no control over the conduct of any user. As such, Revstance specifically disclaims all and any liability from any conduct of any Businesses, Buyers, Customers and other users of the Site to the maximum extent permitted by Law.

You specifically acknowledge and agree that:

Revstance strictly acts an intermediary and as such does not perform any introductions between any Business to a potential/prospective Buyer/Customer or vice versa;
Businesses, Buyers and Customers engage with each other through the Site at their sole risk;
Revstance does not control, supervise or direct in any actions taken by any of its users;
Revstance does not provide you with training or any equipment, labour, or materials;
Revstance is not responsible for listing any Products on the Site, nor for the suitability of any Product;
Revstance makes no representations about, and does not guarantee the quality, safety, or legality of, any Product; the actions of any users, whether acting as a Business, Buyer or Customer, and;
the truth or accuracy of any statement and information posted on the Site; or the identity of any users on the Site.

As such, we have no control over and we do not guarantee the existence, quality, safety, suitability, or legality of any Products listed on the Platform; any qualifications or suitability of any Product; or the truth or accuracy of any statements related to a Product listed on the Site.

No Endorsement

Revstance does not endorse any Business, Buyer, Customer or Product listed on the Platform. You understand that any content, information, image or otherwise posted on the Site is intended for information purposes only.

Any references to a user being "verified", "connected" or other similar language, used on the Site and Platform, shall only indicate that a user has completed a relevant verification process upon registration of a User Account. Any such description is not an endorsement, certification or guarantee by Revstance about any user, including the user's identity and whether the user is trustworthy, safe or suitable.

Intellectual Property

You acknowledge and agree that the (i) Site, Platform, Services, and (ii) any text, logos, domain names, icons, information, graphics, images, music, software, audio, video, information or other materials (“Content”); including all associated intellectual property rights, are the sole and exclusive property of Revstance and its licensors; and may in its entirety or in part be protected by copyright, trademark, and/or other laws of United Kingdom and other countries. As such, all trademarks, copyrights, patents, designs and any other proprietary information or intellectual property used herein are such trademarks, patents, copyrights, designs or other intellectual property of Revstance. Any other intellectual property and any other proprietary designations licenced by Revstance are the intellectual property or proprietary information of such licensors. All such rights are reserved.

You further agree to the following:

You shall not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights or intellectual property incorporated in or accompanying Revstance or Content.
You shall not use any part of Revstance’s Site, Platform or Services for commercial purposes without our prior written consent.
You shall not reproduce in any format (including on another website or mobile app) any aspect of Revstance’s Site, Platform, Services, and Content without our prior written consent.
You shall not use, copy, adapt, modify, prepare derivative works of, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit Revstance’s Site, Platform, Services, and Content, except to the extent you are the legal owner of certain User Content (defined below) or as expressly permitted in these Terms.
No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by Revstance or its licensors, except for the licenses and rights expressly granted in these Terms.
You shall not access (or attempt to access) Revstance ‘s Site, Platform, Services, and Content by any means other than the interface provided, and you will not use information from Revstance for any purposes other than the purposes for which it was made available.
You shall not reproduce, distribute, modify, display, publicly perform, prepare derivative works based on, repost, or otherwise use any Content of Revstance for any purpose without our permission.
You shall not attempt to reverse engineer, modify, adapt, translate, prepare derivative works from, decompile, attempt to interfere with the operation of, or otherwise attempt to derive source code from any part of Revstance’s Site, Platform and the Services.
You shall not access the Site and Platform in order to build a similar service or application, or publish any performance, or any benchmark test or analysis.

If, in Revstance’s sole discretion, you are found to be in breach of any of the above provisions, we may deny you access to the Site, Platform and Services immediately and you must either return or destroy (as required by us) any copies of the materials you have made.

Business shall be the sole and exclusive owner of all Business’ intellectual property rights in the Products (“Business’ Intellectual Property Rights”) which the Business lists on the Platform. Revstance may not use any of Business’ Intellectual Property Rights for any other purpose, other than mentioned under these Terms and not without the Business’ prior written consent. Business hereby grants Revstance the non-exclusive right to use Business’ Intellectual Property Rights, free of charge, in connection with the sale of Business’ Product(s) to prospective/potential Buyers and Customers on the Platform, to the extent necessary for Revstance to (i) exercise our rights under these Terms, and (ii) perform our obligations under these Terms.

Upon the sale of any Product by Business to Buyer/Customer on the Platform, ownership of any such Product (including all intellectual property rights in any such Product) shall pass from Business to Buyer/Customer, whereupon Buyer/Customer shall become the sole and exclusive owner of the Product.

User Content

Revstance allows you to make available certain information, text, graphics or any other material (“User Content”) on the Site. You shall be responsible for the User Content that you post to the Website, including for its legality, reliability, and appropriateness. By making available any User Content on or through the Site, you hereby grant to Revstance a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free licence, with the right to sublicense, to use, view, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, access, view, and otherwise exploit such User Content on the Site and Services. Revstance does not claim any ownership rights in any such User Content and nothing in these Terms will be deemed to restrict any rights that you may have to use and exploit any such User Content.

You acknowledge and agree that you are solely responsible for all User Content that you make available through the Site. Accordingly, you represent and warrant that:

you are the sole and exclusive owner of all User Content or that you have all rights, licences, consents and releases that are necessary to grant Revstance the rights to use such User Content, as contemplated under these Terms;
the User Content will not infringe, misappropriate or violate any third party's patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the breach of any applicable law or regulation; and
Your User Content will not be fraudulent, false, misleading (directly or by omission or failure to update information); deceptive; defamatory, libellous, obscene, racist, discriminatory, illegal, pornographic, vulgar or offensive.

It is Revstance's policy to terminate your User Account if you repeatedly infringe or Revstance believes, in its sole discretion, to be repeatedly infringing the rights of copyright holders. If your User Content infringes a third party’s intellectual property, Revstance may remove your user Content. If any third-party claims that any material posted or uploaded by you violates their intellectual property rights, or their right to privacy, we have the right to disclose your identity to such third parties. Revstance, shall however notify you prior to such disclosure. If User Content that you own or have rights to has been posted to Revstance without your consent, you may contact us via email on [email protected]

Revstance acknowledges that, by providing you with the ability to view and distribute user-generated content on the Site, Revstance is merely acting as a passive conduit for such distribution and is not assuming any obligation or liability relating to any contents or activities on the Site.

Internet Connectivity

To access and use Revstance’s Site and Services, you acknowledge that you will require an active internet connection. We cannot take responsibility for your inability to access the Site and Services as a result of a poor/weak or lack of active internet connection. By using our Site and Services, you accept responsibility for the cost of data or internet connection charges applicable to such access on the internet.

Due to the nature of the Internet, Revstance does not guarantee the continuous and uninterrupted availability and accessibility of our Site. We may restrict the availability of our Site or certain areas or features thereof, if this is necessary in view of capacity limits, the security or integrity of our servers, or to carry out maintenance measures that ensure the proper or improved functioning of the Site and Services. Revstance may improve, enhance and modify our Site and Services and introduce new services from time to time.

Privacy Policy

Revstance understands that your personal information is important to you, and similarly your personal information is important to us. Our Privacy Policy available at https://blazon.revstance.com/privacy-policy/ details how your information is used, stored, and processed when you use our Site and the Services. By using the Site and Services, you consent to Revstance, using, storing and processing your personal information, and you warrant that all data provided by you is accurate.

Age Restriction

The Site and Services are intended for business use only and as such only persons who are 18 years of age or older and/or are corporations, Government agencies, charitable institutions, partnerships, companies and sole traders will be permitted to become users and undertake transactions as Buyers and Customers or Businesses on the Site. Any access to or use of the Site or Services by any person under 18 years of age is expressly prohibited. By accessing or using the Site or Services you represent and warrant that you are 18 years of age or older.

Third Party Links

The Site and Services may contain links to third-party websites or resources. You acknowledge and agree that Revstance is not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by Revstance of such websites or resources or the content, products, or services available from such websites or resources.

Your communications, interactions or business transactions/dealings with any third party found on or through the Site (including the Platform) and/or the Services, including any such third party’s terms, conditions, warranties or representations associated with such communications, interactions or business transactions/dealings, shall be solely between you and such third party. You acknowledge and agree that Revstance shall not be liable for any loss or damage incurred by you as the result of any communication, interaction, business transaction or other dealings you may have with any third party found through (i) the Site (including the Platform) and/or (ii) your use of the Services.

Suspension, Termination and Cancellation of User Account

Revstance may, in our sole discretion and without liability to you, with or without cause or notice and at any time, decide to limit, suspend, deactivate or cancel your User Account. If we exercise this discretion (i) your User Account will be deactivated or suspended; (ii) your Login Credentials will be disabled; (iii) you will not be able to access/use the Site or Services; (iv) your User Content will automatically be deleted; and (v) your REV Tokens (should you have a Revstance User Account) will be deleted if not redeemed with coupons, discounts, Products or special offers, prior to the termination of your User Account.

You may deactivate your User Account, at any time by notifying Revstance via email at [email protected]

Businesses wishing to terminate their account are required to notify Revstance via email at [email protected] Businesses are required to fulfil any orders received before the notice was given. They will also need to maintain related refund policies on products purchased from them via the platform. Businesses from the notice period will be required to not accept any new orders once they have sent their notice of termination to Revstance. Revstance will remove them from the platform in 5 working days after the notice was provided.

Disclaimer of Warranties

Unless otherwise provided under these Terms, the Services shall be provided by Revstance to you "as is," and “as available” with all faults, defects, bugs, and errors. Your use of the Site and Services shall be at your sole risk.

REVSTANCE HEREBY (I) DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH REGARD TO YOUR USE OF THE SERVICES AND/OR TO YOUR SALE/PURCHASE (ON THE PLATFORM) AND USE OF ANY PRODUCTS; AND (II) MAKES NO WARRANTIES OR GUARANTEES OF ANY KIND WITH RESPECT TO THE USER CONTENT, INCLUDING ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, WHETHER EXPRESS, IMPLIED OR STATUTORY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT OR INTEGRATION.

REVSTANCE AND/OR ITS RESPECTIVE AFFILIATES (IF ANY), LICENSORS AND VENDORS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, ACCURACY, RELIABILITY OR COMPLETENESS OF (i) THE INFORMATION CONTAINED ON THE SITE, PLATFORM AND SERVICES, AND (ii) RELATED GRAPHICS PUBLISHED ON THE SITE, PLATFORM AND SERVICES FOR ANY PURPOSE. THE SITE, PLATFORM, SERVICES AND/OR RELATED GRAPHICS ARE PROVIDED TO YOU BY REVSTANCE "AS IS" WITHOUT WARRANTY OF ANY KIND. REVSTANCE AND/OR ITS RESPECTIVE AFFILIATES (IF ANY) HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, INCLUDING ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, WHETHER EXPRESS, IMPLIED OR STATUTORY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT OR QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF A COURSE OF DEALING OR USAGE OF TRADE.

We hereby disclaim any responsibility for any reliance on such information. In addition, Revstance does not warrant the validity, accuracy, or availability of any information provided and as such, we will not be liable for any damages sustained due to reliance on any such information.

Revstance gives no warranty that the Site, Services, Revstance’s Content and User’s Content, will meet your requirements or be available on an uninterrupted, secure, or error-free basis. Revstance gives no warranty regarding the quality of any Products or Services or the accuracy, timeliness, truthfulness, completeness or reliability of any Revstance Content and User’s Content obtained through the Site and/or Services.

You are solely and exclusively responsible for all your communications and interactions with other users of the Site or Services and with third parties with whom you communicate or interact with as a result of your use of the Site or Services, including, but not limited to, any Businesses, Buyers or Customers.

You understand that Revstance does not make any attempt to verify the statements of its users on the Site or Services or to review any Product(s). You acknowledge and agree to take reasonable precautions in all communications and interactions with other users of the Site or Services and with other third parties with whom you communicate or interact with as a result of your use of the Site or Services, particularly if you decide to meet offline or in person regardless of whether such meetings are organized by Revstance.

You acknowledge and agree that Revstance has no obligation to monitor your access to or use of the Site, Services, Revstance’s Content or User Content, or to review or edit any User Content. However, Revstance has the right to review and/or edit any User Content for the purpose of its operations and improving the Site, and Services (including without limitation for fraud prevention, risk assessment, investigation and customer support purposes), to ensure your compliance with these Terms, to comply with applicable law or court order, administrative agency or other governmental body, to respond to content that we determine is otherwise objectionable, or as further set forth in these Terms.

Limitation of Liability

REVSTANCE, ITS AFFILIATES (IF ANY), ITS LICENSORS, VENDORS, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL IN NO EVENT BE RESPONSIBLE OR LIABLE TO YOU OR TO ANY THIRD PARTY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, LIQUIDATED OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFIT, REVENUE OR BUSINESS, ARISING IN WHOLE OR IN PART FROM YOUR ACCESS TO THE WEBSITE, FROM YOUR USE OF THE SERVICES AND/OR FROM YOUR PURCHASE OR SALE OF THE PRODUCTS ON THE PLATFORM, EVEN IF REVSTANCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WHILE REVSTANCE TAKES PRECAUTIONS AGAINST SECURITY BREACHES, NO WEBSITE OR INTERNET TRANSMISSION IS COMPLETELY SECURE, AND AS SUCH, REVSTANCE AND ITS AFFILIATES (IF ANY), LICENSORS, AND VENDORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES THAT MAY RESULT FROM UNAUTHORIZED ACCESS, HACKING, DATA LOSS, OR OTHER BREACHES THAT MAY OCCUR ON THE SITE, THROUGH YOUR USE OF THE SERVICES AND/OR THROUGH YOUR PURCHASE OR SALE OF PRODUCTS ON THE PLATFORM.

NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS, REVSTANCE’S (INCLUDING ITS AFFILIATES (IF ANY), ITS LICENSORS, VENDORS AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS) LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF ACTION, SHALL AT ALL TIMES BE LIMITED TO A MAXIMUM OF 100 POUNDS STERLING £100.

Indemnification

You agree to release, defend, indemnify, and hold Revstance and its affiliates and subsidiaries, and their officers, directors, employees and agents, harmless from and against any:

injuries, losses, or damages (compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of your Product(s); and
claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (a) your access to or use of the Site, Services, and Revstance’s Content, (b) your breach of these Terms; (c) your User Content; (d) your (i) interaction with any user or creation of a Product list on the Platform; and (ii) the use, condition or rental of any Product by you; and (e) your infringement of Revstance’s intellectual property rights.

Revstance shall indemnify and hold you harmless from and against any liability or expense arising from a third-party claim based on any Negligence of Revstance “Negligence” shall mean gross negligence or intentional misconduct.

In the event of a claim subject to indemnification hereunder, the indemnified Party shall: (i) promptly notify the indemnifying Party of the claim, (ii) provide the indemnifying Party with reasonable cooperation and assistance, at the indemnifying Party’s expense, to defend such claim; and (iii) allow the indemnifying Party the opportunity to assume the control of the defense and settlement of such claim. The indemnified Party shall be entitled to participate in the defense of such claim and to employ counsel at its own expense to assist in the handling of such claim. The indemnifying Party must obtain the prior written approval from a duly authorized signatory of the indemnified Party prior to entering into any settlement affecting the indemnified Party’s rights.

General Provisions

Non-Exclusivity. The Parties’ respective obligations under these Terms are non-exclusive and nothing herein is intended to restrict you from accessing, purchasing, selling or using any other third party’s products or services, even if such products or services are similar to the (i) Products traded between Buyers/Customers and Businesses on the Platform, and (ii) Services provided by Revstance on the Site (including the Platform).

Nothing herein is intended to limit Revstance’s right to provide the Services to other registered users and to facilitate Product purchase and sale transaction(s) between other registered users as a third party intermediary.

Severability. If any of the provisions or portions of these Terms are held to be invalid under any applicable statute or rule of law, they are to that extent deemed to be omitted from these Terms without in any way invalidating or impairing the other provisions of these Terms.

No Waiver. A Party’s failure or delay in enforcing any provision of these Terms will not operate as a waiver of the right to enforce that provision or any other provision of these Terms at any time. A waiver of any provision of these Terms shall be in writing, specify the provision to be waived and signed/executed by the Party agreeing to the waiver.

Notices. Except as otherwise provided under these Terms, any notice required or permitted to be given will be effective only if it is in writing and sent by certified mail, registered mail, courier or to [email protected]

Entire Agreement. These Terms represents the entire agreement between the Parties relating to the subject matter hereof. These Terms alone fully and completely expresses the agreement of the Parties relating to the subject matter hereof. There are no other courses of dealing, understanding, agreements, representations or warranties, written or oral, except as set forth herein.

Governing Law & Dispute Resolution. These Terms, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with the laws of England and Wales and the parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
